Do not publish as-is. The operating entity, governing law and venue, launch platforms, product types and prices, credit rules, rewarded-ad behaviour, Square/community behaviour, support mailboxes, moderation response targets and liability cap all need confirmation, and the arbitration and class-waiver clauses need review for each launch market. These Terms of Service (the "Terms") form a binding agreement between you and [LEGAL ENTITY NAME — TO CONFIRM] ("ClipKiwi", "we", "us") covering the ClipKiwi mobile application, the ClipKiwi website and the AI creative features offered through them (the "Service"). By downloading, opening or using the Service you accept these Terms and the ClipKiwi Privacy Policy. If you do not accept them, do not use the Service.
Please read the sections on paid packages, credits, refunds, acceptable use and content moderation carefully, along with any text shown in bold.
The Service is operated by [LEGAL ENTITY NAME], registered at [REGISTERED ADDRESS], together with its service-operation affiliates. Where these Terms give ClipKiwi a right or an obligation, it also applies to those affiliates acting on our behalf.
Parts of the Service depend on third parties — app stores, payment providers, sign-in providers, advertising networks and AI model providers. These Terms do not govern any separate product or service those third parties provide to you directly; their own terms do. Please read them.
We may update these Terms for legal, safety, security, technical or product reasons. We will not reduce your legal rights under these Terms without your explicit consent. When we update them we will change the date above and, where required, give notice in the app, by email or by announcement. A material change applies going forward, after any notice period the law requires. If you do not agree, stop using the Service before the change takes effect.
You must be at least 16 years old to create a ClipKiwi account or use the Service. At 16 or 17 you may use it only where you are legally capable of entering this agreement in your own country; and if the rules there call for a guardian to sign off, that guardian has to go through these Terms with you, accept them, and approve anything you buy. You must also meet any higher minimum age that applies to you by law.
Do not use the Service if the law bars you from doing so. If you use ClipKiwi on behalf of an organization, you confirm you are authorized to bind it to these Terms.
You may register with an email address and password, or sign in with Google or Facebook. Keep your information accurate and up to date, keep your credentials secure, and tell us promptly if you suspect unauthorized access. To the extent the law allows, you are responsible for activity carried out through your account.
You may not sell, rent, lend, transfer or share an account, and you may not create accounts in bulk or by automated means to obtain free credits, promotional benefits or rewarded-ad rewards more than once.
You can request permanent account deletion at any time through [INSERT IN-APP PATH] or [INSERT WEB URL]. Deletion is irreversible: you will no longer be able to sign in, and your account details and stored creative history are deleted or anonymized as described in the Privacy Policy. Unused credits and any remaining package period are forfeited on deletion, and deletion does not cancel or refund a purchase billed by an app store.
ClipKiwi offers AI creative tools that may include portrait and outfit style transformation, image-to-image transformation, image-to-video generation, old-photo restoration, image quality enhancement, and general photo editing, along with templates and related utilities.
Available features, models, output formats, resolutions, processing times, queue positions, credit costs and limits vary by app version, device, region, platform and package. Where a feature screen or a purchase screen gives more specific information, that screen governs. For what a particular tool does and how to use it, follow the description on its own screen in the app.
We may add, change, restrict or withdraw features for legal, safety, security, technical or product reasons, and we may apply fair-use limits. Nothing in these Terms obliges us to keep offering any particular feature. If withdrawing a feature materially affects something you have already paid for, section 15 and the mandatory consumer rights in section 13 apply.
You keep whatever rights you already hold in your Input. You grant ClipKiwi and its contracted providers a limited, non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process, adapt and temporarily store your Input only as far as reasonably necessary to run, secure, debug, moderate and support the Service, in line with the Privacy Policy. This licence ends when that processing and any legally required retention are complete.
You confirm that, for every item you submit, you own it or hold all the rights, permissions and consents needed for you to submit it and for us to process it — including copyright, trademark, privacy, publicity, likeness, portrait and voice rights. Do not upload another person's private or protected material, face or voice without their authorization.
Do not submit material that a creative task does not need, such as identity documents, financial records or medical records.
As between you and us, and subject to the law and to third-party rights, we do not claim ownership of the Output generated for you from your Input. To the extent we acquire any intellectual property rights in that Output, we assign them to you. This does not give you rights in the ClipKiwi app, its models, templates, branding or any third-party material.
Output is produced automatically and may be inaccurate, incomplete, unexpected, unflattering, offensive, or similar to a result generated for someone else. We do not promise that Output is factual, unique, eligible for copyright or other protection, free of third-party rights, or suitable for commercial, professional or high-stakes use. Review every result before you save, publish, distribute or rely on it. How you use Output — including whether you label it as AI-generated where the law or a platform requires that — is your responsibility.
Where the law or a platform policy requires it, ClipKiwi may embed provenance metadata or a visible marker identifying content as AI-generated. Where a free tier applies a ClipKiwi watermark, the applicable package or feature screen will say so, and removing or obscuring that watermark other than through a paid entitlement is not permitted. For the security, stability, troubleshooting and improvement of the Service, we may process Output only as permitted by law and as described in the Privacy Policy. We do not use your private Input or Output to train a general-purpose AI model.
Your Input and Output are private by default. Nothing becomes visible to other users unless the Service clearly offers a posting feature and you actively choose to post.
The Service includes a Square tab. Before publication, confirm what it does and complete this section to match the shipped build — including whether users can post at all, who can see a post, what profile details appear beside it, how a post is removed, and exactly what licence posting grants us. If user posting exists, then when you post you grant ClipKiwi a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and distribute that post within the Service for the purpose of operating the posting feature, for as long as the post remains up plus a reasonable period for backups and moderation records. You may remove your post at any time; removal stops further distribution by us but cannot recall copies other people already saved or shared. Content you view or save from another user may not be used commercially, and may not be re-shared where the person who posted it has said it may not be.
Any wider licence — for example using a user post in ClipKiwi marketing — requires separate, clearly presented permission, and must never be buried in these Terms.
Use the Service lawfully. You must not use it to create, upload, request, generate, publish or distribute content, or to behave in a way, that:
You must also follow any feature-specific rule shown inside the Service and the rules of the app store you downloaded from.
Safeguards are not perfect. They do not catch every violation, they do not make us responsible for what a user does, and their existence does not mean we have reviewed or endorsed any particular content.
If you believe content breaks these Terms, or that AI-generated or AI-altered content shows you or someone else without consent, report it through either channel:

Our available responses include turning down a generation, taking content down, locking or switching off a feature, clawing back credits gained by abuse, putting an account on hold or ending it, holding on to evidence that may be needed later, and — where it is warranted or the law obliges us — passing suspected criminal conduct to the authorities. Where it is practical and lawful we will consider context, severity and repetition, tell you what we did, and give you a way to appeal by replying to our notice or writing to [SUPPORT EMAIL].
If you own a copyright, or are authorized to act for the owner, and you believe content on the Service infringes it, send a notice to [COPYRIGHT / LEGAL EMAIL — TO CONFIRM] with the subject line "Copyright Notice" including:
We will review complete notices, remove or disable access to content where appropriate, and may terminate the accounts of repeat infringers. If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice to the same address with the equivalent information and statements. Sending a knowingly false notice or counter-notice may expose you to liability.

ClipKiwi offers paid access packages and separately purchasable credits.
The purchase screen states the product type, the period, the price, tax treatment, the benefits or credits included, and any expiry rule. That screen governs if it is more specific than this section. [TO CONFIRM THE EXACT PRODUCT LIST AND CREDIT RULES AGAINST THE STORE BACK OFFICE]
If a purchase screen ever identifies a product as an auto-renewing subscription, then that product renews for the stated period and your payment method is charged unless you cancel through the store or account you bought it with, before the renewal deadline that platform shows. Cancelling stops future renewals; access normally runs to the end of the period you already paid for. We cannot cancel a store subscription on your behalf where the platform does not allow it.
All charges are shown before you confirm payment, and the amount charged is the price displayed at that moment. Prices vary by region, platform and product, and tax may be added. Payment is taken by the app store or by an authorized third-party payment provider, depending on where you complete the purchase; their payment terms also apply, and where card details are needed you enter them on their secure page. We do not collect or store your full card number, expiry date or security code.
We may change products, benefits or prices. A change applies only to purchases made after it takes effect and never retroactively alters a package or credit purchase you have already completed.
A package expires at the end of the period you bought. Because it does not auto-renew, you do not need to cancel anything to avoid a further charge, and you keep package features until the expiry date. To continue afterwards, buy a new package at any time. Unused credits stay in your account until you spend them or your account is closed, unless the Service states otherwise for a specific credit type.
Credits are personal to your account, non-transferable and not exchangeable for cash except where the law requires. Different credit types — included with a package, purchased, promotional, or earned from a rewarded ad — may have different expiry and carry-over rules; the rule shown before the purchase or grant governs. We may run promotions such as bonus credits or trials, subject to their own terms, and may change or end a promotion at any time. [TO CONFIRM EXPIRY AND CARRY-OVER PER CREDIT TYPE]
Where the Service offers credits for watching an ad, the reward is granted only after the ad provider confirms a valid completion. We may cap how many rewards you can earn in a period, and we may withhold or reverse rewards obtained through emulators, bots, multiple accounts, VPN abuse, falsified events or other manipulation. The Service shows or makes available the credit cost of a generation. Cost may vary with the model, duration, resolution, number of outputs and other settings you pick.
If a technical failure on our side consumes credits without delivering the result, contact support with your account and task details. Once we verify the failure we will restore the affected credits, re-run the task, or provide another remedy the law requires. This does not apply where the task completed successfully but you did not like the creative result, where the request was blocked by our safety filters, or where the failure was caused by your Input, device or network.
We will help you locate transaction information, diagnose a technical problem and provide the product details a store needs. We cannot guarantee a store's decision or its processing time.
Except where a purchase screen, an applicable channel policy, the payment provider or the law says otherwise, completed purchases are final. A refund or an equivalent remedy may be available for a duplicate or unauthorized charge, a paid entitlement that was never delivered, a verified technical failure on our side, or wherever mandatory consumer law requires one.
We generally will not refund because you changed your mind after substantially using the benefits or credits, because you did not use the Service during a paid period, or because you disliked the subjective style of a result that was delivered successfully — unless the billing platform or the law requires otherwise.

Write to [SUPPORT EMAIL] and tell us: the email or ID on your account, the order number, when you bought it, which product, which platform, how much, what went wrong, and a screenshot if you have one. Leave your card number and security code out of that message — we never need them. Where a purchase has to be verified, or where we are checking for fraud, we may come back to you for something further. Our aim is a first substantive reply within [INSERT OPERATIONALLY APPROVED RESPONSE TARGET]. That is a support-response target only — it is not a promise that a store or a bank will approve or complete a refund in that time, and submitting a request does not guarantee a refund.
Nothing in these Terms limits a refund, cancellation, withdrawal, repair or re-performance right that you cannot legally waive where you live. Where local law lets a withdrawal right end once digital content or a digital service has started, that happens only after any consent and acknowledgement the law requires has been given.
ClipKiwi, its licensors and its affiliates own the Service and everything that comes with it — software, models, interfaces, operation flows, templates, text, graphics, trademarks and other materials — apart from your Input and the Output rights assigned to you. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose while you comply with these Terms. No other right is granted, and the licence is never a transfer or sharing of our intellectual property.
If you send us feedback or a suggestion, we may use it to operate and improve the Service without payment or restriction. That does not give us any rights in your unrelated creative work.
You may stop using ClipKiwi and close your account at any time, as described in section 4 and in the Privacy Policy.
We may narrow, pause or end your access where we have reasonable grounds to think you have broken these Terms in a material way, put someone's safety or our security at risk, acted fraudulently or unlawfully, or left a payment outstanding — and also where a law or a court leaves us no choice. Unless we are legally barred from doing so, we will try to tell you either beforehand or without undue delay afterwards, and where it makes sense we will point you to a way of contesting it.
We may discontinue the Service, or any feature, by giving at least 30 days' prior notice where reasonably possible. If the Service is discontinued while you hold an unexpired package or unused purchased credits, we will provide a pro-rata refund for the unused portion, or another remedy the law and the billing platform allow. Promotional credits, and action taken because of a material breach on your side, may be treated differently to the extent the law permits.
So far as the law allows, you take the Service "as is" and "as available". Nothing here is a promise that it will always be up, that it will run without errors, that a generation will finish inside any particular time, that your history will be stored forever, or that a given Output will turn out accurate, authentic, one-of-a-kind, lawful for the use you have in mind, or fit for your purpose. AI results are generated automatically and may contain artefacts, bias, inaccuracy or unexpected content, and we cannot fully control what a model returns.
ClipKiwi is a creative tool. It does not provide medical, legal, financial, employment, credit, housing, insurance, education-admission or any other professional advice. Do not rely on Output as fact, and do not use it as the sole basis for a decision affecting anyone's rights, safety or access to essential services.
Nothing here excludes a warranty or right that cannot legally be excluded.
To the fullest extent the law allows, neither ClipKiwi nor its affiliates, officers, employees or providers will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, business, goodwill, data or opportunity, arising out of or relating to the Service.
Where we are liable, the ceiling on everything we owe you for all claims connected with the Service is whichever of these two figures is higher: what you actually paid ClipKiwi over the twelve months preceding the event you are complaining about, or [INSERT LEGALLY REVIEWED MINIMUM AMOUNT].
These limits do not apply where the law prohibits them, or to liability that cannot be excluded — including liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or a breach of mandatory consumer rights.
To the extent the law allows, you are responsible for claims, losses, penalties and costs that arise from your unlawful Input, your breach of section 9, your infringement of someone else's rights, or your decision to publish, distribute or commercially exploit Output. Where the law permits it and a claim is brought against us because of one of those things, you will defend and indemnify us, and we may take over the defence at your reasonable cost. This does not cover anything caused by our own breach, wilful misconduct or negligence, and it does not apply where consumer law prevents it.
The Service may be affected by events we cannot reasonably control, including natural disasters, epidemics, war or civil unrest, government or regulatory action, cyberattack or malware, failure of a cloud or AI provider, server or network instability, communication-line failure and power outage. To the extent the law allows we are not liable for loss caused directly by such an event, but we will make reasonable efforts to restore the Service and reduce the impact as soon as practicable, and this section does not remove your right to a remedy for a paid entitlement we could not deliver.
The law that applies to this agreement is that of [JURISDICTION OF THE CLIPKIWI OPERATING ENTITY — TO CONFIRM], and its conflict-of-law rules are set aside.

If you are a consumer, nothing in this section removes a mandatory protection, a right to bring proceedings in your local courts, or access to an out-of-court dispute-resolution body available under the law where you live.
Together with the Privacy Policy and any rule displayed inside the Service, this document is the whole of what we have agreed about the Service. Should a court find one provision unenforceable, that provision is narrowed to whatever the law does permit and everything else stands. If we do not act on a breach immediately, we keep the right to act on it later. Your side of this agreement is personal to you and cannot be handed to anyone else without our agreement; our side may move with the business in a reorganization, merger, acquisition or sale of assets, provided the law permits it and your rights are not cut back. Sections 6, 7, 9, 14, 16, 17, 18, 20 and 21 continue to apply after your account closes, as do any other sections that would be meaningless otherwise.
These Terms are written in English. If we provide a translation and the versions conflict, the English version governs, except where local law requires the local-language version to prevail.
